Terms and Conditions

General: These terms apply to all sales by First Corporate
Clothing Ltd to the exclusion of any other terms unless otherwise agreed in writing.
We reserve the right for reasons of continuous improvement to make changes to the items shown in this catalogue and to remove selected styles.

Price: The price of the goods will be the price ruling at the date of dispatch. All prices quoted exclude postage and packing and VAT. Any applicable postage and packing and VAT is payable by you in addition to the contract price.

Delivery: It is the policy of First Corporate Clothing Ltd to deliver all orders in full. Part deliveries will only be made at the request of the customer who will be liable for any additional carriage charges incurred. Shortages and damaged items within a delivery must be reported to us in writing by return of post to reach us within 3 days of you receiving the delivery. The report should state the relevant order and delivery note numbers, and the date on which delivery was received. Our liability in respect of any such claim is limited to the replacement of the goods or refund of the price, at our option, and does not extend to any indirect or consequential loss.

You must pay our reasonable extra charges in respect of (a) any special arrangements made at your request to expedite delivery; and (b) any costs, expenses and liabilities we may incur because you give inadequate or inaccurate instructions.

We aim to dispatch stock items within two working days of receipt of your order. We aim to deliver special sized garments within 8 weeks. Anticipated delivery dates for non-catalogue or personalised items may be confirmed at the time of ordering.
Unless agreed in writing time is not of the essence.

Payment: Invoices will be issued on the day of despatch of goods and must be paid within thirty days of Invoice date, subject to status. If you fail to pay us in full on the due date we may suspend or cancel future deliveries. Interest on any overdue account is payable at the rate equivalent to that set for the purposes of Section 6 of the Late Payment of Commercial Debts (Interest) Act 1998. We may invoice you for the goods together with any applicable delivery charges and VAT when they or any instalment of them is dispatched to you or to your order.

Risk and Ownership: The risk in the goods passes to you when the goods are delivered to the delivery address. Ownership of the goods remains with First Corporate Clothing Ltd until payment has been received in full for the goods and any other garments for which payment is also due.

Insolvency: Despite any agreed credit terms all payments for goods supplied, whether or not invoiced, become immediately due if (a) you make any voluntary arrangement with your creditors or become bankrupt or become subject to an administration order, (b) go into liquidation whether voluntarily or by order of the court; or (c) cease or threaten to cease to carry on business or First Corporate Clothing Ltd reasonably believes any of the above events is about to occur and notifi es you accordingly; then you must cease at once to use any of our goods not then paid for and must when requested return to us any of them remaining in your possession. Following a written request for their return we are entitled without incurring any liability to you to enter your premises and remove and repossess such of our goods not paid for as are to be found there and also to cancel any contract with you.

Force Majeure: Where we are unable to perform due to any circumstances beyond our control we may suspend performance while those circumstances subsist and any agreed date or period for delivery shall be regarded as extended accordingly.

Returns Policy: If any catalogue garments are not required for any reason we will be happy to replace them or to refund their value provided that they are (a) returned to us carriage paid, unused within 30 days of delivery (b) our invoice relating to the relevant goods has been paid by the due date; and (c) a written note is enclosed quoting the invoice number and stating the reason for the goods being returned.

This returns policy does not apply to non-catalogue styles, garments made to customers special requirements, altered or personalised garments.

Limitation of Liability: If any faulty goods are returned First Corporate Clothing Ltd shall replace the goods free of charge, rectify the fault, or refund the price of the goods and First Corporate Clothing Ltd shall have no further liability. For any sales covered by the Consumer protection (Distance Selling) Regulations 2000 the customer has the right to request a refund.

First Corporate Clothing Ltd shall not be liable for any loss or damage whether direct or consequential or otherwise but in any event First Corporate Clothing Ltd‘s liability (if any) shall be limited to the price of the goods. Nothing in these terms affects our liability for death or personal injury resulting from First Corporate Clothing Ltd’s negligence.

Samples: Samples will be invoiced to you on dispatch and will be credited in full provided they are returned to us unused within 30 days of delivery, otherwise the price, including the carriage and VAT. becomes immediately payable.

English Law: This contract shall be governed by and construed and interpreted in accordance with English Law and shall be subject to the exclusive jurisdiction of the English Courts.
